Terms of Service

By accessing or using the Market Acceleration Pipeline ("MAP") platform, you agree to be bound by these Terms of Service ("Terms"). If you are accessing MAP on behalf of a business entity, you represent that you have the legal authority to bind that entity to these Terms. If you do not agree to these Terms, you may not use MAP's services. We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice. Your continued use of the platform after the effective date constitutes acceptance of the revised Terms.

MAP is a business-to-business SaaS platform designed to help CPG (Consumer Packaged Goods) suppliers discover, access, and grow placement in micromarket locations across the Bay Area, California. Services include market discovery, analytics, campaign management, field team reporting, survey tools, and brand scoring. MAP provides access to data, operator profiles, and field intelligence on a subscription basis. All services are subject to the terms and conditions described herein and in your executed Service Agreement.

To use MAP, you must be a legal business entity or a duly authorized representative of one, operating in the CPG supplier industry. Individuals using MAP for personal, non-commercial purposes are not permitted. You agree to provide accurate, current, and complete information during registration and to update your account information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify MAP immediately at support@mapplatform.com if you suspect unauthorized account access.

MAP is offered on a subscription basis with three tiers: Launchpad, Visionary, and Hardcore. Each plan includes a defined number of market locations, field team visits, campaign requests, and platform user accounts as described at sign-up. Minimum Contract Commitment: All subscriptions require a minimum commitment of either 6 or 12 months as selected during onboarding. Billing: Subscription fees are charged in advance of each billing period (monthly or annual). Failure to pay within 10 days of the due date may result in service suspension. Price Changes: MAP reserves the right to adjust pricing with 60 days written notice. You may cancel your subscription before the next billing cycle if you do not agree to the new pricing. No Refunds: Subscription fees are non-refundable except as required by applicable law.

Use of MAP's services requires the execution of a Service Agreement prior to account activation. The Service Agreement governs specific terms related to your selected plan, pricing, contract length, and service commitments. In the event of a conflict between these Terms and your executed Service Agreement, the Service Agreement shall control with respect to the specific terms addressed therein.

You may use MAP solely for lawful, internal business purposes related to your CPG distribution and micromarket placement activities. You agree not to: • Use MAP to misrepresent your products, make false claims, or engage in deceptive trade practices • Share, resell, sublicense, or redistribute access to the MAP platform to any third party • Scrape, crawl, or systematically extract data from the platform beyond normal use • Reverse engineer, decompile, or attempt to extract the source code of MAP's software • Harass, threaten, or interfere with the activities of micromarket operators, field agents, or other users • Use MAP for any purpose that violates applicable federal, state, or local law • Upload or transmit any malicious code, viruses, or disruptive content Violation of these restrictions may result in immediate account suspension or termination without refund.

MAP Platform: All software, design, trademarks, analytics models, market data compilations, operator databases, and proprietary methodologies associated with MAP are the exclusive property of Market Acceleration Pipeline. No rights are granted to you other than a limited, non-exclusive, non-transferable license to use the platform as described in these Terms. Your Content: You retain ownership of product data, brand assets, and content you submit to MAP. By uploading content, you grant MAP a non-exclusive license to use that content as necessary to provide the services. Market Intelligence Data: All field reports, quality scores, brand scores, operator contact information, and market analytics generated by MAP remain the property of MAP and may not be exported, reproduced, or distributed without prior written consent.

All market data, operator contacts, pricing information, field reports, brand scores, and platform content accessed through MAP are confidential and proprietary. You agree to: • Use confidential information solely for your internal business purposes related to your MAP subscription • Not disclose confidential information to any third party without MAP's prior written consent • Implement reasonable security measures to protect confidential information from unauthorized access This obligation survives the termination of your subscription for a period of three (3) years.

No Guarantees of Results: MAP provides market intelligence, placement tools, and field support services. We do not guarantee specific sales outcomes, product placement success, operator acceptance, or revenue results. Market performance depends on many factors outside MAP's control. Service Availability: MAP strives to maintain 99% uptime but does not guarantee uninterrupted access. Scheduled maintenance, technical issues, and force majeure events may affect availability. Data Accuracy: While MAP makes reasonable efforts to maintain accurate market and operator data, we cannot guarantee the completeness or timeliness of all information provided on the platform. THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAP'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) $1,000. MAP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

By You: You may terminate your subscription at any time after the minimum contract commitment period by providing 30 days written notice. Termination before the end of the minimum term may result in early termination fees equal to the remaining months of the commitment. By MAP: MAP may suspend or terminate your account immediately, without notice, for: (a) material breach of these Terms or your Service Agreement; (b) non-payment of fees; (c) conduct that we believe poses a risk to MAP, its operators, or other users; or (d) as required by law. Effect of Termination: Upon termination, your access to the platform will cease. Data associated with your account may be retained for up to 7 years for legal and financial record-keeping purposes.

You agree to defend, indemnify, and hold harmless MAP, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any content or data you submit to the platform.

These Terms shall be governed by the laws of the State of California, without regard to conflict of law provisions. Any disputes arising out of or related to these Terms or your use of MAP shall be resolved through binding arbitration administered by JAMS in San Francisco County, California, under its Streamlined Arbitration Rules. YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION LAWSUIT. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

MAP reserves the right to modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via email or a prominent notice within the platform. Your continued use of MAP after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the platform and, if within your minimum contract term, contact us to discuss options.
